1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the website located at https://pipeline-pulse.com/, any subdomains, and the Pipeline Pulse software application, integrations, and related services (collectively, the "Service"), owned and operated by BlueSky Digital Transformation, LLC ("BlueSky", "we", "us", or "our").

By accessing or using the Service, requesting a demo, or connecting the Service to your Microsoft Dynamics 365 environment, you ("Customer", "User", or "you") agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms.

If your organization has executed a separate master Software as a Service (SaaS) Agreement or written contract with BlueSky Digital Transformation, LLC regarding the Service, that agreement shall control to the extent of any direct conflict with these Terms.

2. Description of the Service

Pipeline Pulse is an AI-powered sales intelligence platform designed to integrate with Microsoft Dynamics 365. The Service monitors external news, trigger events, and account updates, correlates them with CRM records, generates AI-ranked sales signals, and publishes structured intelligence back into your Dynamics 365 environment.

3. Eligibility and Account Registration

To access or use the Service, you must:

• Be at least 18 years of age and capable of entering into binding contracts.
• Be an authorized representative of an enterprise or business organization.
• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your login credentials and OAuth access tokens.

You are responsible for all activities that occur under your user accounts or CRM connection credentials. You agree to notify us immediately at info@blueskydt.com of any unauthorized access or security incident.

4. Permitted and Prohibited Uses

You agree to use the Service solely for your internal business operations in accordance with applicable laws, these Terms, and standard Microsoft Dynamics 365 operating procedures.

You agree that you will not, and will not permit any third party to:

• Reverse engineer, decompile, disassemble, or attempt to discover the source code, object code, or underlying algorithms of the Service.
• Modify, translate, adapt, copy, or create derivative works based on the Service or its documentation.
• Resell, sublicense, lease, distribute, or provide access to the Service on a timesharing, service-bureau, or white-labeled basis without prior written approval from BlueSky.
• Use automated scripts, spiders, web scrapers, or extraction tools to collect data from the Service outside of approved API endpoints.
• Attempt to probe, scan, test the vulnerability of, or breach any security or authentication measures protecting the Service or Microsoft Azure infrastructure.
• Interfere with, disrupt, or place an unreasonable load on the servers, networks, or connected services used to provide Pipeline Pulse.
• Use the Service in violation of any applicable federal, state, local, or international laws, regulations, or export controls.

5. Customer Data and Dynamics 365 Integration

We respect your ownership of your data and design our architecture with data minimization principles:

• Ownership: As between BlueSky and Customer, Customer retains all right, title, and interest in and to all data, records, and information residing in or imported from your Microsoft Dynamics 365 environment ("Customer Data").
• Limited Processing License: You grant BlueSky a non-exclusive, worldwide, royalty-free license to access, read, and process Customer Data solely to the extent necessary to deliver, maintain, troubleshoot, and support the Service.
• Data Scope: The Service extracts only limited, non-personally identifiable business fields (such as Company Name, Website URL, City, and State) to search and generate sales trigger signals. We do not extract personal contact records or financial account data from your CRM.
• Customer Authority: You represent and warrant that you possess all requisite rights, licenses, consents, and permissions to authorize Pipeline Pulse to connect to your Dynamics 365 and Dataverse environment.

6. Intellectual Property Rights

All rights, title, and interest in and to the Service—including but not limited to the Pipeline Pulse software, algorithms, user interfaces, branding, logos, trademarks, website design, documentation, and technical know-how—are and shall remain the exclusive property of BlueSky Digital Transformation, LLC and its licensors.

Except for the limited license explicitly granted to you to use the Service during an active subscription or evaluation period, no licenses or rights are granted to you by implication, estoppel, or otherwise.

If you submit feedback, suggestions, or ideas regarding the Service, BlueSky may freely use, modify, and incorporate such feedback into the Service without restriction, attribution, or compensation to you.

7. Artificial Intelligence and Third-Party Services

Pipeline Pulse leverages advanced artificial intelligence models (including models provided by OpenAI) and cloud infrastructure (Microsoft Azure):

• Ephemeral AI Processing: CRM search inputs sent to AI sub-processors are processed ephemerally solely to produce the requested output. Customer Data is not retained by third-party AI models and is not used to train public or foundation AI models.
• Third-Party Dependencies: The Service interacts with third-party platforms, notably Microsoft Dynamics 365, Microsoft Dataverse, and Microsoft Bookings. BlueSky is not responsible for interruptions, deprecations, rate limits, or outages originating from Microsoft services or third-party platforms.
• Nature of AI Output: Sales signals, summaries, and recommendations generated by artificial intelligence are probabilistic analytical aids. You acknowledge that AI output may occasionally be incomplete or require human verification before taking commercial actions.

8. Subscriptions, Invoicing, and Payment

Access to production tiers of Pipeline Pulse is provided on a paid subscription basis as detailed in the applicable commercial quote or Order Form. Unless agreed otherwise in writing:

• Fees are quoted and payable in United States Dollars (USD).
• Invoices are delivered electronically and payable via Check or Electronic Funds Transfer (EFT).
• Subscriptions automatically renew for successive terms equal to the initial term unless either party provides written notice of non-renewal prior to the end of the current billing cycle.
• BlueSky reserves the right to suspend Service access if invoices remain past due following written notice.

9. Term, Suspension, and Termination

These Terms remain in effect for as long as you access the website or maintain an active subscription or evaluation account.

• Termination for Convenience: Subject to your underlying SaaS Agreement or Order Form terms, either party may terminate access according to the agreed notice period.
• Termination for Cause: Either party may terminate immediately if the other party materially breaches these Terms and fails to cure the breach within thirty (30) days of receiving written notice.
• Emergency Suspension: BlueSky may temporarily suspend access to the Service without liability if we reasonably determine that your account poses a security risk, threatens system stability, or violates Section 4 (Permitted and Prohibited Uses).
• Survival: Sections 5 (Ownership), 6 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 13 (Governing Law) shall survive any expiration or termination of these Terms.

10. Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN A BINDING WRITTEN SAAS AGREEMENT, THE SERVICE, WEBSITE, DEMOS, AND ALL ASSOCIATED SIGNALS, INSIGHTS, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

BLUESKY DIGITAL TRANSFORMATION, LLC AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY SALES SIGNALS, TIMELINES, OR INSIGHTS WILL LEAD TO SPECIFIC COMMERCIAL OUTCOMES, SALES, OR REVENUE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLUESKY DIGITAL TRANSFORMATION, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BLUESKY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO BLUESKY FOR THE SERVICE DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD) IF YOU ARE USING A FREE DEMO OR TRIAL.

12. Indemnification

You agree to defend, indemnify, and hold harmless BlueSky Digital Transformation, LLC, its officers, directors, members, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your or your authorized users' violation of these Terms.
• Customer Data or information you connect, provide, or transmit through the Service.
• Your violation of any third-party intellectual property, privacy, or proprietary rights.
• Your use or misuse of the Service in breach of applicable laws or regulations.

13. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or related to them, shall be governed by and construed in accordance with the laws of the State of Michigan and the federal laws of the United States, without regard to conflict of law principles.

You agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the state or federal courts located in Oakland County, Michigan, and you consent to the personal jurisdiction and venue of such courts.

14. Modifications to Terms

We may update or revise these Terms from time to time to reflect changes in our Service, legal requirements, or operational practices. When we post updates, we will revise the "Effective Date" at the top of this page. Material revisions will be communicated through our website or via notice to account administrators.

Your continued use of the Service after the effective date of revised Terms constitutes your binding acceptance of the changes.
